what's a difference between

directive proc and simply label ?

am I wrong that you may call as well the proc as the label ?

is any advantage with using proc ?

Of cource you can call proc as well as label. Proc is actually a macro that defines a label Smile. It has this advantage that it can handle arguments passed by stack. See FASMW examples for more info on the topic...
